1. Agreement and parties
These Terms are between Nodejam AB, org. no. 559562-5749, Propellervägen 6A, 183 62 Täby, Sweden ("Nodejam", "we") and the person or organization that signs in or signs up ("you"). A person may sign up for themselves. A person accepting for an organization confirms that they may bind it, and the organization is then responsible for the people it invites ("Users").
If you are a consumer, you keep the rights that the law where you live gives you and that cannot be waived. Nothing in these Terms limits them.
2. The Service
Nodejam is a desktop app for Mac. You point it at a folder, ask in chat, and get documents, spreadsheets, presentations, PDFs and web pages back (together with the cloud services below, the "Service").
The app runs on your computer. Your files, chats, agent history and the sign-in tokens of tools you connect stay on your computer. Our cloud runs sign-in, organizations, teams and monthly AI limits, usage counts, limit emails, company pack files an admin uploads, files people send each other in Nodejam, app updates, and, where Nodejam supplies the AI, the AI requests the app sends.
You are responsible for your computer, for keeping your account secure, and for having the rights to the files and data you use with the Service. We develop the Service continuously, and features may be added, changed or removed. No uptime or support level is promised unless a signed agreement says so.
3. Organizations
In an organization, its owners and admins decide who is invited, which team each person is in and how much AI each team may use in a month. When a team reaches its limit, AI requests for that team stop until an admin raises the limit or the month turns. Admins see AI use and cost per team, person and model. They do not see your files or chats through Nodejam.
Admins can upload company pack files, such as templates and logos, which Nodejam stores so the organization's Users can use them in the app.
4. Your content
"Your Content" means the files, prompts and other material you use with the Service, and "Output" means what the Service makes from them. As between you and Nodejam, Your Content and Output are yours.
When you ask for work and Nodejam supplies the AI, the parts of your files and chat the agent needs are sent through Nodejam's relay to the AI provider that answers the request. Company pack files are stored in our cloud for the organization. We use Your Content only to provide the Service to you, and you give us the right to do that.
You are responsible for the accuracy, quality and legality of Your Content and for having the permissions needed to use it with the Service. A Data Processing Addendum is available to business customers on request.
5. AI output
The Service uses AI to create, edit, analyze and convert content. AI output can be wrong, incomplete or unsuitable, and you must review it before you rely on it, publish it or send it. The Service is not a substitute for professional advice in legal, medical, financial, employment, safety or other high-stakes matters.
We do not promise that Output is accurate, fit for your purpose, protected by intellectual-property rights, or free of third-party rights. You are responsible for how you use Output.
How AI requests are handled is described in the Privacy Policy.
6. Acceptable use
You must not use the Service to:
- Break the law or infringe the rights of others, including sanctions and export controls.
- Create or share unlawful, fraudulent, defamatory, harassing, hateful or abusive material.
- Handle child sexual abuse material or facilitate sexual exploitation.
- Spread malware, disrupt infrastructure, or get around security, sign-in, usage-limit or safety controls.
- Probe for vulnerabilities outside an approved disclosure process.
- Access accounts, systems or data without authorization.
- Reverse engineer non-public parts of the Service, except where the law allows it.
- Scrape or automate access to our cloud outside the interfaces and limits we provide.
- Impersonate anyone or misrepresent where content comes from.
- Infringe intellectual-property, privacy, confidentiality or data-protection rights.
- Make fully automated decisions with legal or similarly significant effects on people.
7. Connected tools and other services
You can connect tools such as mail, calendar and file storage. They sign in with their provider directly, their tokens stay on your computer, and Nodejam does not store those credentials. The agent asks you before it sends anything on your behalf. Where your organization turns on sending in Nodejam, files you send a colleague, with the brief and review notes, are stored in our cloud for that organization. Otherwise hand-offs go through your own mail, for example as an Outlook draft.
Connected tools, sign-in providers and AI providers are governed by their own terms. We are not responsible for services we do not control or for their availability.
8. Open source
OpenPaperwork, an open edition of the library behind Nodejam, is licensed under the Apache License 2.0 and is not governed by these Terms. It runs the coding agent you already use, so your requests go through that agent to its maker's service under that agent's own terms.
9. Plans and payment
Paid plans, if any, follow the price and terms shown at purchase or in a signed order form.
10. Intellectual property and feedback
Apart from Your Content and Output, Nodejam and its licensors own the Service, including the software, designs, documentation, trademarks and underlying technology. You get a non-exclusive right to use the Service under these Terms, and no other rights.
We may use feedback you give us to improve the Service, without naming you publicly or disclosing your confidential information.
We may also use usage data, such as request counts, models, costs, errors and app versions, to run, secure and improve the Service. Usage data does not include your files or chats.
11. Confidentiality
Each party uses the other's non-public information only for this relationship, protects it with reasonable care, and shares it only with people who need it and are bound to confidentiality. This does not cover information that is public, already lawfully known, independently developed, or lawfully received from someone else. Disclosure required by law is allowed, with notice where possible.
12. Suspension and termination
You can stop using the Service at any time. To delete your account, email hello@nodejam.com.
We may suspend or end access where reasonably necessary, for example after a security incident, unlawful use, a serious breach of these Terms, a risk to the Service or other users, or a legal requirement. Where appropriate and lawful, we give notice and a chance to fix the problem first.
13. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we make no warranties beyond those in these Terms, including warranties of merchantability, satisfactory quality, accuracy, non-infringement or fitness for a particular purpose, and we do not promise that the Service will meet your needs or run without errors or interruptions.
14. Limitation of liability
Neither party is liable to the other for indirect or consequential loss, lost profits, lost revenue, business interruption, or lost or damaged data, however it arises.
Each party's total liability arising out of or in connection with these Terms is limited to the fees paid or payable to Nodejam in the 12 months before the event giving rise to the claim. If no fees were paid or payable in that period, the limit is SEK 1,000.
These limits do not apply to liability for gross negligence or wilful misconduct, or to liability that the law does not allow to be limited. If you are a consumer, they apply only as far as consumer law allows.
15. Changes and notices
We announce material changes to these Terms with reasonable notice and a new effective date. Changes do not apply backwards. Notices to Nodejam go to hello@nodejam.com, or to the address in a signed agreement.
16. Governing law and general terms
These Terms are governed by Swedish law, and disputes are settled by the courts of Stockholm, Sweden. Mandatory rights under the law where you live or operate are not affected.
You may not transfer these Terms without our consent. If a provision is unenforceable, the rest still applies, and not enforcing a term is not a waiver. These Terms, together with any signed agreement, are the entire agreement.
